Trustee governance analysis and strategic communications advice

Save or Share:

A group expressed interest in taking over from a charity’s existing trustee board. Keen to give the proposal fair consideration, the trustees provided clear guidance to the group outlining what would be required to ensure the group were capable to assume control. Despite this support, the group’s submission failed to address the necessary requirements. The board concluded that the proposal was unsuccessful. Given the sensitivity of the decision and the stakeholders affected, communication required careful handling.

Communicating a complex decision

The trustees needed to communicate a fair, transparent and defensible decision whilst balancing their duty of care to the charity with the need to manage relationships with the group and wider stakeholders.

A strategic response: analysis, evidence and alignment

Ensuring the decision-making process and its communication were robust, transparent and aligned with governance best practice, outputs included:

  1. Comprehensive Governance Dossier | A detailed analysis of the proposal, trustee board minutes and supporting documentation was undertaken. This resulted in a structured dossier, providing the board with a record of due diligence to reference, if challenged, covering:
    • Guidance provided to the group by trustees
    • Requirements set out for the proposal
    • Meeting format and approach to assessment
    • Proposal evaluation against agreed criteria
    • Funding considerations and financial sustainability analysis
    • Decision-making process
    • Trustees’ final rationale for declining the takeover
  2. Decision Communication Drafts | Messaging was prepared for multiple audiences:
    • A clear, respectful response to the group outlining why the proposal was unsuccessful
    • Internal staff updates ensuring clarity and minimising speculation
    • External statements for stakeholders to reinforce the trustees’ responsibility to protect the charity
  3. Leadership Advisory | Senior leadership were advised on how to present the decision to affected stakeholders. This included tone, sequencing of communications and managing potential backlash while reinforcing the trustees’ accountability to act in the charity’s best interests.

Clarity, credibility and confidence in governance

The trustees were equipped with a full evidence-based record of their decision, strengthening governance resilience and reducing risk of challenge. Communication was consistent, respectful and aligned across audiences, ensuring that the decision was understood and accepted.

Leadership Insight

“Trustee decisions often carry emotional weight. Transparent, respectful and evidence-based communication ensures those decisions are made well and explained properly.”

In high-stakes governance situations, clarity of process and communications discipline are as vital as the decision itself. By evidencing due diligence and preparing carefully tailored messaging, trustees can protect both the charity’s mission and its reputation.
